These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and SellFi, LLC ("SellFi," "we," "us," or "our") governing your access to and use of sellfi.com (the "Site") and all related services (collectively, the "Services").

By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Overview of Services

SellFi operates a technology platform that connects homeowners who wish to sell their property ("Sellers") with verified professional real estate buyers ("Buyers"). Our Services include:

• Collecting property information from Sellers
• Matching Sellers with qualified Buyers from our network
• Facilitating the delivery of structured offers
• Providing transaction protection through the PayShield™ Framework (buyer verification, payment servicing, payment assurance reserve, and performance deposits)
• Coordinating professional closings

2. Eligibility

To use the Services, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding agreement
• If submitting a property as a Seller, have legal authority to sell or authorize the sale of the property
• If applying as a Buyer, be a legally formed entity or individual with verifiable proof of funds or financing

3. SellFi Is Not a Real Estate Broker or Lender

SellFi is a technology platform, not a real estate brokerage, lender, or financial institution.

• We do not act as a real estate agent or broker for either party
• We do not provide real estate appraisals or valuations
• We do not originate, underwrite, or fund loans
• We do not provide legal, tax, or financial advice
• We do not guarantee the sale of any property or the performance of any Buyer

You are strongly encouraged to consult with licensed real estate attorneys, tax advisors, and financial professionals before entering into any transaction.

4. Seller Terms

By submitting your property information through the Site, you represent and warrant that:

• All information you provide is accurate, complete, and not misleading
• You have the legal right to sell the property or are authorized to act on behalf of the property owner
• You understand that submitting property information does not guarantee you will receive an offer
• You are under no obligation to accept any offer presented through the platform

SellFi does not charge Sellers any platform fees. Seller costs, if any, are limited to standard closing costs as outlined in the settlement statement for each transaction.

5. Buyer Terms

Buyers accessing the SellFi platform agree to:

• Complete the SellFi verification process, including identity verification, entity documentation, and proof of funds
• Pay applicable platform fees, PayShield™ fees, and servicing setup fees as disclosed prior to closing
• Fund the required performance deposit and any applicable Payment Assurance Reserve contributions
• Comply with all terms of the purchase agreement, promissory note, and servicing instructions
• Maintain timely payments as outlined in the amortization schedule

Buyer fee structures and transaction terms are disclosed in full prior to closing. Specific fee amounts vary by transaction.

6. PayShield™ Framework

The PayShield™ Transaction Framework is a set of protective measures built into every SellFi transaction, including buyer verification, third-party payment servicing, payment assurance reserves, and performance deposits.

Important:

• PayShield™ is NOT insurance
• PayShield™ is NOT a guarantee of payment or performance
• PayShield™ does NOT create a fiduciary relationship between SellFi and any party
• PayShield™ is a framework of risk-mitigation measures designed to enhance transaction security

Full details of the PayShield™ Framework are provided in the SellFi Disclosure Document, which is furnished to all parties prior to closing.

7. User Conduct

You agree not to:

• Provide false, misleading, or fraudulent information
• Use the Services for any illegal purpose
• Interfere with or disrupt the Site or its infrastructure
• Attempt to gain unauthorized access to any part of the Services
• Scrape, harvest, or collect data from the Site without written permission
• Use the platform to circumvent SellFi's processes or contact parties outside the platform to avoid applicable fees
• Reproduce, distribute, or create derivative works from any Site content without prior written consent

8. Intellectual Property

All content on the Site — including text, graphics, logos, images, software, the SellFi name, the PayShield™ name, and all related trademarks — is the property of SellFi, LLC or its licensors and is protected by applicable intellectual property laws.

You may not use, reproduce, or distribute any SellFi content or trademarks without our prior written consent.

9. Third-Party Services

The Services may integrate with or contain links to third-party websites, tools, or services (e.g., title companies, loan servicers, payment processors). SellFi is not responsible for the content, privacy practices, or terms of any third-party service. Your use of third-party services is at your own risk.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

SellFi does not warrant that:

• The Services will be uninterrupted, error-free, or secure
• Any property will receive an offer
• Any offer will result in a closed transaction
• Any Buyer will perform under the terms of a purchase agreement
• Any specific financial outcome will be achieved

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SELLFI, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or anticipated savings
• Loss of data or business opportunity
• Property damage or personal injury
• Any transaction entered into through the platform

IN NO EVENT SHALL SELLFI'S TOTAL LIABILITY EXCEED THE AMOUNT OF FEES, IF ANY, PAID BY YOU TO SELLFI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless SellFi, LLC and its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Services
• Your breach of these Terms
• Any information you provide through the platform
• Any transaction you enter into through the platform

13. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall be resolved as follows:

1. Informal Resolution — You agree to first contact SellFi and attempt to resolve any dispute informally for at least thirty (30) days before initiating any formal proceeding.
2. Binding Arbitration — If informal resolution fails, any dispute shall be resolved by binding arbitration administered in accordance with the rules of the American Arbitration Association (AAA). Arbitration shall take place in the State of Utah.
3. Class Action Waiver — You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to conflict of law principles.

15. Modifications to Terms

We reserve the right to update or modify these Terms at any time. When we do, we will revise the "Effective Date" at the top of this page. Your continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.

For material changes, we will make reasonable efforts to notify you via email or a prominent notice on the Site.

16. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive termination (including Disclaimers, Limitation of Liability, Indemnification, and Dispute Resolution) shall survive.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy and any transaction-specific agreements (purchase agreement, promissory note, PayShield™ disclosure), constitute the entire agreement between you and SellFi regarding the Services.
